2. Preamble and Scope

1. This licensing agreement governs the commercial use of the LuminoSana Business Cube (hereinafter “Licensed Product”).
2. By purchasing and registering the Business Cube in the LuminoSana login area, the Licensee agrees to this agreement.
3. This licensing agreement applies worldwide, subject to mandatory provisions of the respective country (e.g., consumer protection or national business law).
4. In case of contradictions between this agreement and mandatory legal provisions of a country, the mandatory provisions shall prevail. The remaining content of the agreement remains unaffected.

3. Definitions

• Licensor: LuminoSana Ltd.
• Licensee (Business): Companies or individuals who use the LuminoSana Business Cube for commercial or self-employed purposes (e.g., alternative practitioners, coaches, clinics, non-profit organizations, or other entities).
• Private License: A separate license form for private users who do not operate commercially or charge fees.
• LuminoSana Affiliate Program: A commission-based model allowing authorized business partners to resell or recommend LuminoSana products.

4. Assignment to Individuals and Companies

1. License for Individuals (Self-Employed, Alternative Practitioners):

• If the Licensee is an individual (e.g., an alternative practitioner), the license is personally tied to that person.
• If this individual operates multiple practices or locations, one Business Cube must be purchased for each location.‍
• Transfer of the Business Cube to third parties is only permitted with express written approval from LuminoSana.‍

2. License for Companies, Social Projects, or Organizations:

• If the Licensee is a legal entity (e.g., GmbH, AG, non-profit organization) or a social project, the Business Cube is assigned to that organization.
• Transfer or assignment of the Business Cube to other companies, social projects, or third parties requires the prior written consent of the Licensor.
• Use within the same organization (e.g., multiple departments of a single company) is permitted only if it concerns the previously declared locations.

3. No Automatic Transfer in Case of Sale or Restructuring:

• In the event of a company sale, merger, or other restructuring, a new approval from LuminoSana is required to maintain the existing Business License.

5. Licensee’s Rights (Commercial Use)

1. The Licensee is entitled to use the Business Cube for fee-based activities within its commercial or self-employed operations, including:
   a) Frequency transmissions onto objects or persons (e.g., in a practice) against payment.
   b) Commercial distribution of energized products (e.g., individually programmed energy cards or power capsules), provided written approval from LuminoSana has been obtained, and the products are clearly labeled with "made with LuminoSana Technology."
   c) Use in seminars, workshops, or training for a fee.
   d) Participation in the LuminoSana Affiliate Program in order to receive commissions for referrals or resale.
   
2. The Business Cube itself is identifiable as a commercial version (the word “Business” appears on the plexiglass stand and the modules).
   
3. Reference to Private License: In the event of termination or non-payment of the annual license fee, the Business Cube will be reverted to a Private License. Consequently, the terms of the Private License apply (e.g., purely private use with no fee-based offerings).
   
4. No Medical Claims:
   
   • The Business Cube is not a medical device; no medical or healing claims shall be made.

6. Usage Restrictions

Unless explicitly allowed under Section 5, the following uses are prohibited:

1. Reproduction, duplication, or imitation of the Licensed Product or original LuminoSana products

• Independently licensed developments of energized products may only be distributed after prior written consent from LuminoSana, and must be clearly marked as independent creations.
• It must not appear that they are original LuminoSana products.

2. Granting sub-licenses without written approval from the Licensor.

3. Use in unapproved commercial setups or locations not officially listed by the Licensee or its organization.‍

4. Use for illegal or unethical purposes.

5. Reverse engineering, disassembly, or technical analysis

• Any attempt to open, disassemble, or technically analyze the LuminoSana Business Cube or its modules is prohibited.
• The Cube contains no conventional electronics; its operating system is based on quantum-physical principles. Disassembly would irreversibly destroy its functionality.

7. License Fees and License Cycle

1. Acquisition Costs:

• One-time fee: EUR 1,998 (Silver Edition), including energy and frequency upgrades.

2. Annual License Fee (Business License):

• Small Business (up to 10 employees): EUR 235.58 per year
• Extended Business (11–100 employees): EUR 2,358.13 per year
• Enterprise Business (over 100 employees): Price on request

3. License Year and Payment Terms:

• The License Year generally starts on December 15 of each calendar year and ends on December 14 of the following year.
• Pro-rata calculation: If the Cube is purchased or activated during the current year, the license fee is calculated proportionally until December 14.
• On December 15, the Licensee receives an invoice (e.g., via Stripe) for the upcoming License Year.

4. Automatic Renewal and Due Date:

• If the license fee is paid on time, the Business License is renewed for another year.
• Failure to pay automatically terminates the Business License. The Cube is reverted to a Private License and may no longer be used commercially.

8. Termination

1. Termination by the Licensee

• The Licensee may terminate in writing with 14 days’ notice prior to the end of the license period (December 14).
• Upon termination, the right to commercial use expires. The Cube remains in the Licensee’s possession but is converted into a Private License.
• The Business Cube must not be publicly displayed or used in publicly accessible spaces in a way suggesting it still carries a Business License.

2. Termination by the Licensor

• The Licensor may terminate without notice if the Licensee violates this agreement (in particular, unauthorized distribution, imitation, unethical use).
• In such a case, the Cube will likewise revert to the Private License.

3. Resale or Transfer after Termination

• Resale or transfer of the Business Cube as a Business Cube is only permitted with the Licensor’s written consent. Otherwise, it remains a Private License.

9. Disclaimer of Liability

1. No liability for consequential damages

• The Licensor shall not be liable for consequential damages or lost profits arising from the use of the Licensed Product.

2. No healing promises

• No guarantee is given for specific outcomes, health effects, or healing results.

3. Use at your own risk

• The Licensee uses the Business Cube at its own risk.
• Mandatory statutory liability provisions (e.g., product liability, intent, gross negligence) remain unaffected to the extent they cannot be contractually excluded.

4. Applicability in Different Jurisdictions

• Insofar as local laws do not allow a broader exclusion of liability, this exclusion applies only within the legally permissible scope.

10. Trademarks and Copyright

1. Brand and Logo Use

• The “LuminoSana” brand and related logos/labels are protected.
• The label “made with LuminoSana Technology” is required for products energized with the LuminoSana Business Cube.
• Beyond that, no modification or expanded use of LuminoSana brands or logos is permitted unless authorized in writing by the Licensor.

2. Use of Original Components

• Officially labeled energy cards and power capsules can be purchased as blanks, then programmed and resold independently.
• The designation as original LuminoSana product must not be removed or falsified.

3. Copyright

• All documents, frequency data, training materials, and other content provided by LuminoSana are protected by copyright and may be used only within the scope of the Business License.

11. Resale and Affiliate Program

1. Affiliate Program

• The Licensee may participate in the LuminoSana Affiliate Program (requires a separate sign-up) to receive commissions for successful referrals or product sales via personal affiliate links.
  

2. Reseller Role

• Acting as a reseller (distributor) generally requires a Business License and approval from LuminoSana.
• Reselling LuminoSana products without Affiliate affiliation or direct approval is not permitted.

12. Contractual Penalty (Optional)

1. Contractual Penalty for Serious Violations

• The Licensor reserves the right to assert a contractual penalty in the event of serious or repeated breaches (e.g., large-scale unauthorized duplication, deliberate circumvention of license rules).
• The scope and enforcement of any penalty will be evaluated case by case, based on the severity of the breach.

2. No Waiver of Other Claims

• Enforcement of a contractual penalty does not preclude further civil claims (e.g., damages).

13. Final Provisions

1. Governing Law and Jurisdiction

• This agreement is governed by the laws of the Republic of Cyprus.
• The place of jurisdiction is Nicosia, Cyprus, unless mandatory statutory provisions dictate otherwise.

2. Severability Clause

• Should any provision of this agreement be held invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by one that most closely reflects the economic intent of the invalid provision.

3. Pioneer Program

• You are among the first 100 Business Partners (Pioneer Program). Certain additional features are still under development. You have the opportunity to participate actively and test new features at an early stage.

4. Confirmation

• Please confirm that you have read and accepted this agreement to fully use the LuminoSana Business Cube for commercial purposes.

Note

• Private License: If the annual license fee is no longer paid or if the Licensor or Licensee terminates this agreement, the Private License applies. In this case, commercial use (e.g., fee-based swiping or selling energized products) is prohibited.
• Further details on the Private License are regulated separately and automatically apply in the event of a switch to private status.
